REMINDER TO CLIENTS: REQUIREMENT TO SUBMIT ANNUAL RETURNS AND ANNUAL ACCOUNTS
The Registrar of Companies issued a Public Notice on 6 January 2026, concerning annual statutory filing obligations. We therefore wish to remind our valued clients of their statutory obligation to submit for filing your company’s Annual Returns accompanied by Audited Financial Statements as approved at the annual general meeting, in accordance with Section 131 of the Companies Act [CAP 212 R.E. 2023].
In the case of Foreign Companies registered in Tanzania, they are required to submit for filing consolidated copies of their annual accounts at the end of each calendar year. These statutory filings must be lodged with the Registrar of Companies on the anniversary date of incorporation/registration or on any other date duly selected by the company and approved by the Registrar.
Please note that, as emphasized in the Registrar’s Public Notice, any company that fails to comply with this requirement will not be permitted to effect changes to its registered particulars, as applications for such changes will not be processed until the outstanding Annual Returns and accounts have been duly filed.
Timely submission of Annual Returns and annual accounts enables the Registrar to maintain accurate and up-to-date records and provides a true and fair representation of a company’s status.
We encourage our clients to ensure timely compliance as required to avoid delays, disruptions, or financial penalties and other inconveniences when submitting applications relating to operational, corporate, and secretarial changes.
