The Registrar of Companies issued a Public notice on 6 January 2026, reminding all companies incorporated or registered in Tanzania of their statutory obligation to submit to the Registrar of Companies information regarding Beneficial Ownership (BO) in their respective Companies.

The Registrar has emphasized that any company that has not submitted its BO information will not be permitted to conduct any transaction with the Registrar of Companies until such information has been duly filed. Transactions that will be restricted include, but are not limited to:

• Filing of Annual Returns;
• Registration of changes to company particulars;
• Applications for company searches;
• Registration of charges;
• Perusal of company documents;
• Applications for restoration of system access rights; and
• Certification of company documents.

The submission of BO information is a mandatory legal requirement under Section 469 of the Companies Act [CAP 212 R.E. 2023], read together with the Beneficial Ownership Regulations, 2023, published under Government Notice No. 714 of 22 September 2023.

BO is submitted electronically through the BRELA Beneficial Ownership system.
